Terms of Use and API License<\/h1>\n

Effective Date: September 15, 2025<\/strong><\/p>\n\n

Please read the following Terms of Use (\u201cTerms\u201d) carefully. These terms govern Your use of the websites and services of PGW Auto Glass, LLC, a Delaware limited liability company (together with its Affiliates (as defined below), \u201cPGWAG\u201d, \u201cour\u201d, \u201cwe\u201d, or \u201cus\u201d), including ANY associated mobile applications offered by PGWAG as the APP developer (\u201cAPP\u201d), official application programing interfaces offered by PGWAG (\u201cAPI\u201d), or other content, material, or functionality (collectively, the \u201cServices\u201d).<\/p>\n\n

By accessing, browsing, downloading, using, or registering for any content, material, or functionality contained in the Services, You acknowledge that You have read and understood these terms and that You accept and agree to be bound by them in full.<\/p>\n\n

As used herein, Affiliates of PGW Auto Glass, LLC consist of entities that directly or indirectly control, are controlled by, or are under common control with PGW Auto Glass, LLC. As used in this definition, the term “control” shall mean, with respect to any legal entity, the possession, direct or indirect, of the power to direct or cause the direction of the management and policies of such legal entity, whether through ownership of voting securities, by contract, or otherwise.<\/p>\n\n

These terms may be changed from time to time as specified below. Your continued use of the Services after any such changes constitutes Your acceptance of these terms.<\/p>\n\n

IF YOU DO NOT AGREE TO ABIDE BY THESE OR ANY FUTURE TERMS OF USE, YOU ARE NOT AUTHORIZED TO USE THE SERVICES AND SHOULD DISCONTINUE ANY USE OF THE SERVICE, IN FULL OR IN PART.<\/strong><\/p>\n\n

ARBITRATION NOTICE: UNLESS YOU OPT-OUT AND\/OR EXCEPT FOR CERTAIN TYPES OF DISPUTES DESCRIBED IN THE ARBITRATION SECTION BELOW, YOU AGREE THAT DISPUTES BETWEEN YOU AND PGWAG WILL BE RESOLVED BY MANDATORY, BINDING ARBITRATION AND YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASSWIDE ARBITRATION.<\/strong><\/p>\n\n

These Terms are a legal agreement between PGWAG and You (\u201cYou\u201d or \u201cYour\u201d) that governs the Services.<\/p>\n\n

By using the Services, You authorize the collection of information about You, Your use of the Services, the device on which an associated APP is installed or from which You access the Services, and the use, transmission, processing, and storing of information as described in our Privacy Notice. A link to the Privacy Notice is available at the bottom of the relevant website.<\/p>\n\n

\n\n

1. Account Registration<\/h2>\n

In order to use certain aspects of the Services You will need to log-in with a user account that You register for through the Services (\u201cAccount\u201d). You agree to provide current, complete, and accurate Account information when You register for an Account and are responsible for keeping it up to date.<\/p>\n

You agree to keep Your log-in information confidential and not authorize any third party to use it or Your Account. You agree that we may attribute all use of Your Account to You, and that You are responsible for all activities that occur under Your Account.<\/p>\n

You agree to notify us immediately if You suspect any unauthorized use of Your Account, the Services, or any other breach of security. Depending on Your Account type or other criteria, Your Account may not have full access to all features or functionality available through the Services. You agree not to attempt to access any restricted features or functionality.<\/p>\n\n

2. Eligibility<\/h2>\n

You must be a resident of the United States, Mexico, or Canada and 18 years of age or older to use the Services. By registering for an Account, You certify that You are 18 years of age or older and a United States, Mexico, or Canadian resident.<\/p>\n\n

3. License to Services<\/h2>\n

Conditioned on Your compliance with these Terms, PGWAG grants You a limited, personal, non-exclusive and nontransferable license to access and use the Services solely for Your personal, non-commercial use in connection with Your use of the Services.<\/p>\n\n

(a) Mobile APP EULA<\/h3>\n

Subject to the terms of this Agreement, PGWAG grants to You a personal, non-sublicensable, nonexclusive, nontransferable, limited license to download, install and use one or more APPs, in object code form only, solely on a mobile device that is specifically supported by PGWAG and owned or otherwise controlled by You solely for the internal business use of Your employer in connection with Your use of the Services as an end-user.<\/p>\n\n

(b) API Package License<\/h3>\n

Subject to the terms of this Agreement, PGWAG grants to You a personal, non-sublicensable, nonexclusive, nontransferable, limited license to use the API Package in accordance with documentation supplied by PGWAG solely for Your internal business use.<\/p>\n

Use of the API Package is strictly limited to retrieving pricing and product availability data applicable to sales of PGWAG\u2019s products to Your employer, solely for storing, processing, assessing and displaying such customer-specific data for internal business purposes.<\/p>\n

You are solely responsible for testing any interface developed using the API Package and ensuring lawful use of such data. PGWAG makes no express warranty of data for Your purposes.<\/p>\n\n

(c) Proprietary Rights<\/h3>\n

All PGWAG websites, webapps, APPs, the API Package, and all intellectual property rights therein remain the sole and exclusive property of PGWAG (or its licensors) and are protected by applicable intellectual property laws.<\/p>\n\n

(d) Changes<\/h3>\n

PGWAG may update, upgrade, modify, revise or otherwise change the Services at its sole discretion, with or without notice.<\/p>\n\n

(e) Confidentiality<\/h3>\n

The API Package and related documentation constitute PGWAG\u2019s confidential information (\u201cConfidential Information\u201d). You agree to maintain confidentiality and not disclose or misuse such information except as permitted herein.<\/p>\n\n

4. PGWAG Content<\/h2>\n

The Services include information, data, graphics, text, images, code, video, and other materials (\u201cContent\u201d). PGWAG and\/or its licensors own all rights in such Content. You may access and use Content solely in connection with Your use of the Services and in compliance with these Terms.<\/p>\n\n

5. Authorized Use of Aggregated Data<\/h2>\n

You grant PGWAG an irrevocable worldwide right to use information in aggregated form only and in a manner that does not identify You (\u201cAggregated Data\u201d) for internal and commercial purposes including analytics, reporting, and performance measurement.<\/p>\n\n

6. Updates<\/h2>\n

PGWAG may provide updates to APPs (\u201cUpdates\u201d). These Terms apply to Updates unless additional terms are provided.<\/p>\n\n

7. Third Party Websites<\/h2>\n

The Services may contain links to third-party websites (\u201cLinked Sites\u201d). PGWAG is not responsible for such Linked Sites.<\/p>\n\n

8. License Restrictions<\/h2>\n

  • You must not reverse engineer, decompile, or attempt to access source code.<\/li>\n
  • You must not rent, lease, sell, sublicense, or distribute the Services.<\/li>\n
  • You must not modify or create derivative works.<\/li>\n
  • You must not bypass security features.<\/li>\n
  • You must not use the Services for competitive benchmarking.<\/li>\n
  • You must comply with all applicable laws.<\/li>\n<\/ul>\n\n

    9. Violation of Terms and Enforcement<\/h2>\n

    PGWAG reserves the right to investigate violations and cooperate with law enforcement.<\/p>\n\n

    10. Reservation of Rights<\/h2>\n

    All rights not expressly granted are reserved by PGWAG.<\/p>\n\n

    11. Service Availability<\/h2>\n

    PGWAG does not guarantee availability and may suspend or discontinue Services at any time.<\/p>\n\n

    12. Termination<\/h2>\n

    You may terminate Your Account at any time. PGWAG may terminate access at its discretion.<\/p>\n\n

    13. Disclaimer of Warranties<\/h2>\n

    TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED \u201cAS IS\u201d AND \u201cAS AVAILABLE\u201d WITHOUT WARRANTIES OF ANY KIND.<\/strong><\/p>\n\n

    14. Disclaimer of Certain Damages<\/h2>\n

    IN NO EVENT WILL PGWAG BE LIABLE FOR CONSEQUENTIAL, INCIDENTAL, EXEMPLARY, PUNITIVE, OR SPECIAL DAMAGES.<\/strong><\/p>\n\n

    15. Limitation of Liability<\/h2>\n

    PGWAG\u2019s maximum aggregate liability will not exceed US$100.00.<\/p>\n\n

    16. Important Consumer Notice<\/h2>\n

    Certain jurisdictions do not allow limitation of liability for specific damages.<\/p>\n\n

    17. Independent Remedies<\/h2>\n

    Limitations and disclaimers apply independently of other remedies.<\/p>\n\n

    18. Indemnity<\/h2>\n

    You agree to indemnify and hold PGWAG harmless from claims arising from Your use of the Services.<\/p>\n\n

    22. AGREEMENT TO MANDATORY ARBITRATION; CLASS ACTION WAIVER<\/h2>\n

    ALL DISPUTES WILL BE RESOLVED BY BINDING INDIVIDUAL ARBITRATION UNDER THE FEDERAL ARBITRATION ACT.<\/strong><\/p>\n\n

    23. General<\/h2>\n

    If any provision is held invalid, the remainder remains in effect.<\/p>\n\n

    Apple<\/h3>\n

    These Terms are between You and PGWAG, not Apple. Apple is not responsible for the APPs.<\/p>\n
